Terms of Service

1. Acceptance

By creating an account or using AGEMS ("the Service"), you agree to these Terms. If you're accepting on behalf of an organization, you represent that you have authority to bind it.

2. What AGEMS provides

AGEMS is a platform for configuring, running, and supervising AI agents that use third-party LLM providers (OpenAI, Anthropic, Google, etc.). We provide the orchestration, billing, observability, and integrations; the LLMs themselves are operated by the upstream providers.

3. Your account

• You must be at least 18 years old.
• You are responsible for keeping your credentials and API keys secure.
• One person or organization per account. No sharing login across multiple organizations.
• You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree NOT to use AGEMS to:

• violate any law, third-party right, or LLM provider's usage policy;
• generate CSAM, violent extremist content, or content that harms minors;
• send unsolicited bulk messages (spam) or impersonate real people without consent;
• attempt to reverse-engineer the Service, bypass rate limits, or probe for vulnerabilities without written permission;
• resell or sublicense the Service without a written reseller agreement.

We may suspend accounts that violate this clause. Serious violations result in immediate termination.

5. Payments & credits

• Subscriptions are billed monthly in advance via Stripe and renew automatically until cancelled.
• Credits (one-time top-ups, subscription-included credits, promotional bonuses) are consumed as your agents run LLM calls.
• Credits are non-refundable and non-transferable. Unused included credits do not roll over to the next billing period unless stated in your plan.
• Prices may change; we'll give at least 14 days' notice before any increase.
• If a payment fails after 3 retries, the account is paused until payment is updated.

6. Your content

You retain ownership of prompts, files, and outputs you create. You grant us a limited licence to host, process, and display them strictly to operate the Service for you. We don't train our own models on your data.

7. Third-party LLMs

Outputs generated by LLMs may be inaccurate, biased, or unsafe. You are responsible for reviewing outputs before acting on them. We make no warranty that LLM outputs are accurate, lawful, or fit for any particular purpose.

8. Service availability

We target 99.5% monthly uptime but don't guarantee it. Planned maintenance windows will be announced where possible. Third-party outages (LLM providers, Stripe) are outside our control.

9. Cancellation & termination

You may cancel your subscription anytime from Settings → Billing. Cancellation takes effect at the end of the current billing period. We may terminate an account for breach of these Terms, non-payment, or legal reasons. On termination we delete your data within 60 days unless retention is required by law.

10. Warranty disclaimer & liability

The Service is provided "as is". To the maximum extent permitted by law, AGEMS disclaims all implied warranties. Our total liability for any claim arising from the Service is capped at the fees you paid in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Governing law

These Terms are governed by the laws of Cyprus. Disputes are subject to the exclusive jurisdiction of the courts of Cyprus, without prejudice to mandatory consumer-protection rights in your country of residence.

12. Changes

We may update these Terms. Material changes are communicated by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.
